Complete Guide to Private Limited Company Registration in India
A Private Limited Company is the most preferred business structure for startups, family businesses and growing enterprises in India. Governed by the Companies Act, 2013, it is a separate legal entity with limited liability for its shareholders, perpetual succession and a level of credibility that banks, investors and large clients trust. Because its shares cannot be offered to the public, founders keep strong control over ownership while still being able to raise funds from angel investors, venture capital funds and other private sources.
At Delhi Tax Solutions, our team of Chartered Accountants, Company Secretaries and legal experts manages the complete incorporation process — from name approval and digital signatures to the Certificate of Incorporation, PAN and TAN — so you can focus on building your business instead of chasing government forms.

Key Advantages of a Private Limited Company
- Limited Liability Protection: Shareholders are liable only up to the unpaid amount on their shares. Personal assets stay protected from business debts.
- Separate Legal Entity: The company can own property, sign contracts, and sue or be sued in its own name.
- Easy Fundraising: You can issue equity or preference shares to angel investors and venture capital funds, and offer ESOPs to attract talent.
- Perpetual Succession: The company continues to exist even if a director or shareholder exits or passes away.
- Higher Credibility: MCA registration, a Corporate Identification Number (CIN) and audited accounts build trust with banks, vendors and customers.
- Tax Planning Options: Eligible to opt for the concessional corporate tax regime (subject to conditions), and business expenses and reasonable director salaries are deductible as per law.
- Foreign Investment Friendly: Most sectors allow foreign investment under the automatic route, subject to sectoral rules.
Minimum Requirements for Private Limited Company Registration
- Directors: At least 2 directors. At least one must be a Resident of India (stayed in India for 182 days or more in the previous calendar year).
- Shareholders: At least 2. A director can also be a shareholder.
- DIN and DSC: Every proposed director needs a Director Identification Number and a Class-3 Digital Signature Certificate.
- Registered Office: A valid commercial or residential address in India.
- Company Name: Must be unique, must end with “Private Limited”, and must not resemble an existing company or registered trademark.
- Capital: No minimum paid-up capital. Authorised capital is chosen based on your business needs (government fees and stamp duty depend on it).
Step-by-Step Private Limited Company Registration Process
Step 1: Obtain Digital Signature Certificate (DSC)
The first step is to acquire a Class 3 Digital Signature Certificate (DSC) for all the proposed directors and subscribers of the company. Since the MCA (Ministry of Corporate Affairs) process is completely online, a DSC is mandatory to digitally sign all incorporation forms and documents.
Step 2: Apply for Director Identification Number (DIN)
A Director Identification Number (DIN) is a unique 8-digit number assigned by the MCA to individuals intending to become directors. You can apply for a DIN directly through the integrated SPICe+ form during the registration process for up to three new directors.
Step 3: Name Approval
You need to choose a unique name for your company and apply for its approval through the SPICe+ Part A form on the MCA portal. You can submit up to two name preferences at a time. Ensure the name complies with the Companies Act guidelines and does not infringe on any existing trademarks.
Step 4: Draft MoA & AoA (Memorandum & Articles of Association)
Once the name is approved, the next crucial step is drafting the Memorandum of Association (MoA) and Articles of Association (AoA). The MoA defines the company’s core objectives and scope of work, while the AoA outlines the internal rules and regulations for its management and operations.
Step 5: File SPICe+ Part B Form
Submit the comprehensive SPICe+ Part B form. This integrated web form covers multiple services in a single application, including company incorporation, DIN allotment, mandatory issue of PAN and TAN, EPFO registration, ESIC registration, and opening a corporate bank account.
Step 6: Receive Certificate of Incorporation (COI)
After verifying the SPICe+ forms and all attached documents, the Registrar of Companies (RoC) will issue the Certificate of Incorporation (COI). This certificate is the conclusive proof of your company’s existence and officially provides your Corporate Identification Number (CIN), along with the company PAN and TAN.
Step 7: File INC-20A (Commencement of Business)
The process isn’t completely over with just the COI. Within 180 days of incorporation, the company must open its current bank account, have the shareholders deposit their initial subscription capital, and file Form INC-20A (Declaration for Commencement of Business) with the RoC. A company cannot legally start business operations or borrow money until this form is filed.
