Complete Guide to LLP Registration in India

A Limited Liability Partnership (LLP) combines the flexibility of a partnership with the protection of a company. Governed by the LLP Act, 2008, an LLP is a separate legal entity, which means the partners are not personally liable for the LLP’s debts beyond their agreed contribution. It is a popular choice for professionals, consultants, small service businesses and family-run enterprises that want limited liability without heavy compliance.

At Delhi Tax Solutions, our CAs, Company Secretaries and legal experts handle the entire LLP incorporation process — name reservation, DPIN, FiLLiP filing and the LLP Agreement — so your LLP is registered correctly the first time.

Documents Required for LLP Registration

For Partners / Designated Partners

  • Copy of PAN Card

  • Identity Proof (Voter ID, Passport, or Driving License)

  • Address Proof (Bank Statement, Electricity Bill, or Mobile Bill – less than 2 months old)

  • Passport-size Photographs

Step-by-Step LLP Registration Process

Step 1: Obtain Digital Signature Certificates (DSC)

Since all MCA filings are 100% digital, we first obtain Class-3 Digital Signature Certificates for all designated partners.

Step 2: Apply for DPIN

Every designated partner requires a DPIN. If partners do not already possess a DIN, it is allocated directly through the integrated FiLLiP incorporation form.

Step 3: Name Reservation (RUN-LLP)

We conduct a thorough trademark and MCA database search to reserve a unique name via the RUN-LLP (Reserve Unique Name) service.

Step 4: File Form FiLLiP

FiLLiP is the main incorporation application containing partner details, office address proof, and consents. PAN and TAN for the LLP are generated simultaneously with this step.

Step 5: Receive Certificate of Incorporation

Upon verifying the submission, the Registrar of Companies (ROC) issues the official Certificate of Incorporation along with your LLPIN.

Step 6: Draft & File LLP Agreement (Form 3)

Within 30 days of registration, the LLP Agreement (detailing partner rights, profit sharing, and operational roles) must be executed on state-specific stamp paper and filed via Form 3.

Step 7: Post-Registration Account Setup

Open a dedicated LLP current bank account and complete secondary tax registrations (GST, Udyam MSME, etc.).
